Job summary

XBOW is seeking a Senior Legal Counsel-Commercial to own commercial legal work across the company. The role involves drafting, reviewing, and negotiating enterprise agreements, SaaS licenses, and data processing agreements, while collaborating with Sales, Finance, Product, and Engineering.

A hands-on, commercially minded lawyer with 7+ years of experience, including in-house and AI product advisory, is required.

Qualifications

• 7+ years of commercial legal experience with drafting and negotiating complex tech agreements.
• In-house experience at a technology company supporting commercial teams.
• Experience working in a startup environment and prioritising with limited resources.
• Direct experience advising on AI products or services, including data rights and IP terms.
• Qualified lawyer admitted to practise in a relevant jurisdiction.
• Proven ability to independently lead enterprise commercial negotiations from initial review to signature.
• Strong commercial judgment; ability to explain trade-offs clearly.
• Knowledge of privacy, data protection, and information security related to technology contracts.

Responsibilities

• Lead commercial negotiations, drafting and negotiating enterprise SaaS, software licenses, POCs, partnerships, procurements, and DPAs.
• Collaborate with Sales and Finance on deal structure, strategy, and escalations to support revenue growth and manage risk.
• Advise on AI-related commercial issues, including data use, model training restrictions, IP ownership, confidentiality, and third-party terms.
• Support product development by translating legal considerations into customer terms and commitments.
• Define testing permissions, scope, acceptable use, and handling of vulnerability findings.
• Develop templates, negotiation playbooks, and approval workflows to scale contracts.
• Provide practical training so colleagues know when to move independently and when to involve Legal.
• Identify emerging issues and coordinate with external advisors as needed.
