Job summary

UpGuard is seeking an Associate Commercial Counsel / Junior Contracts Manager to support a fast-paced sales organization. You will handle day-to-day negotiations, partner with North American and EMEA teams, and help document, maintain, and modernize contracting practices.

This role offers scope across commercial transactions, legal operations, and data privacy, with mentorship from senior lawyers and global cross-functional exposure.

Qualifications

• 2+ years drafting, negotiating, and managing end-to-end B2B SaaS transactions.
• Experience supporting a SaaS sales organization across U.S. markets and/or internationally.
• Experience using contracting software (HubSpot, Ironclad, DealHub, DocuSign).

Responsibilities

• Draft, negotiate, and advise on standard B2B SaaS agreements, including NDAs, Master Agreements, DPAs, and channel agreements.
• Manage legal intake and responses for customer RFPs, vendor forms, and security/legal questionnaires.
• Maintain and update front-line standard agreement templates to reflect evolving business needs.
• Perform contract data entry, document auditing, and metadata tagging to build a reliable legal repository.
• Track post-execution obligations and terms to support reporting, risk tracking, and accessibility.
