UpGuard is seeking a pragmatic Associate Commercial Counsel / Junior Contracts Manager to support a fast-moving sales org. You’ll draft, negotiate, and manage B2B SaaS agreements and related templates, partnering with North American and EMEA teams to modernize contracting practices.

The role emphasizes cross-functional collaboration, data privacy, and scalable legal operations in a fully remote environment with potential Austin hub proximity. Competitive compensation and benefits are offered.

Qualifications

2+ years experience drafting, negotiating, and managing end-to-end B2B SaaS transactions and contract lifecycle management.
Experience across in-house or law firm environments is a plus.
Familiarity with negotiating standard agreements and data privacy considerations.

Responsibilities

Draft, negotiate, and advise on standard B2B SaaS agreements, including NDAs and Masters.
Manage legal intake for customer RFPs, vendor forms, and security questionnaires.
Maintain and update front-line standard agreement templates to reflect evolving needs.
Track post-execution obligations and terms for reporting and risk management.
