UpGuard is seeking an Associate Commercial Counsel / Junior Contracts Manager to support a fast-paced sales organization across North America and globally. You will draft, negotiate, and manage B2B SaaS contracts, NDAs, and master agreements, while modernizing templates and workflows to accelerate deal velocity.

You will partner with Deal Desk, Finance, Revenue Accounting, and Security teams, ensuring data integrity and compliance while helping scale contracting operations for a growing,

Qualifications

2+ years drafting, negotiating, and managing end-to-end B2B SaaS transactions.
Experience supporting a SaaS sales organization across US markets and internationally.

Responsibilities

Draft, negotiate, and advise on standard B2B SaaS agreements including NDAs and Master Agreements.
Manage contract lifecycle, data entry, auditing, and metadata tagging for legal repository.
Support regulatory compliance and collaboration with finance, revenue, and sales teams.
Develop playbooks, clause libraries, and approval guidelines for scalable workflows.
