UpGuard is seeking an Associate Commercial Counsel / Junior Contracts Manager to support a fast-paced sales organization. You will draft, negotiate, and manage standard B2B SaaS agreements while coordinating with North American and EMEA teams.

Qualifications

• 2+ years drafting, negotiating, and managing end-to-end B2B SaaS transactions and contract lifecycle management.

Responsibilities

• Draft, negotiate, and advise on standard B2B SaaS agreements including NDAs, Master Agreements, DPAs, and channel agreements.
• Manage legal intake and responses for customer RFPs, vendor forms, and security questionnaires.
• Maintain and update front-line standard agreement templates to reflect evolving business needs.
• Serve as custodian of contract lifecycle management, including data entry, auditing, and metadata tagging.
• Track post-execution obligations and commercial terms to support reporting, risk tracking, and accessibility.
• Improve templates, forms, and processes to streamline deals and terms.
• Support development and integration of legal workflows and technology stacks (e.g., Ironclad, DealHub, HubSpot, DocuSign).
• Collaborate with Deal Desk, Finance, Revenue Accounting, and Sales to align on terms and velocity.
