UpGuard seeks an Associate Commercial Counsel / Junior Contracts Manager to support a fast-moving sales organization and partner with global go-to-market teams. You will manage day-to-day customer-facing negotiations and modernize contracting practices.

You will own routine deal flow, draft agreements, respond to RFPs, and help build scalable legal playbooks while collaborating with cross-functional leaders worldwide.

Qualifications

• 2+ years drafting and negotiating end-to-end B2B SaaS contracts.
• Experience supporting a sales org across US markets is a plus.
• Comfort with data privacy and cross-functional collaboration.

Responsibilities

• Draft, negotiate, and manage standard B2B SaaS agreements and NDAs.
• Maintain contract templates and respond to customer RFPs and questionnaires.
• Manage contract lifecycle data and monitor post-execution obligations.
• Collaborate with Deal Desk, Finance, Revenue Accounting, and Sales teams.
