Job summary

Cognizant is seeking an experienced Mergers & Acquisitions (M&A) Attorney to join the Corporate Development team. You will lead deal structuring, due diligence, documentation, signing, and closing for U.S. and international transactions, coordinating with tax, finance, HR, IP, and compliance teams.

You will guide the integration of acquired businesses, manage outside counsel, and provide strategic legal advice to internal stakeholders. A strong track record in high-stakes M&A, and a J.D.

Qualifications

• At least five years of mergers & acquisitions experience.
• Undergraduate and J.D. from recognized institutions.
• Top law firm experience in US & cross-border M&A.
• Diverse, complex M&A transactional experience.
• End-to-end M&A process understanding.
• Strong project-management & attention to detail.

Responsibilities

• Draft and negotiate definitive transaction documents incl. S&As, LOIs, confid. agreements.
• Lead M&A deal attorney for structuring, due diligence, docs, signing, closing.
• Conduct due diligence and summarize findings for investment committee.
• Collaborate with tax, finance, HR, IP, IT, and compliance teams.
• Support integration plans for acquired businesses.
• Coordinate outside M&A counsel and advise on related matters.
