Cognizant is seeking an experienced Mergers and Acquisitions Attorney to join the Corporate Development team. You will serve as lead M&A deal attorney on US transactions and support international deals across the lifecycle from structuring through closing and integration, coordinating with tax, finance, HR, IP, and compliance.

This remote, US-based role requires five+ years in M&A, J.D. and undergraduate degrees, and a proven track record at top firms.

Qualifications

• At least five years of experience in mergers and acquisitions.
• Undergraduate and J.D. degrees from well-recognized institutions.
• Top law firm experience focused on public and private mergers and acquisitions in the United States and across borders.
• Diverse and complex M&A transactional experience.
• End-to-end M&A process understanding from deal inception to integration.
• Strong project-management and attention to detail.
• Ability to work independently and as part of a team.
• Excellent written and oral communication skills.
• Ownership mindset and passion for meaningful outcomes.

Responsabilités

• Draft and negotiate definitive transaction documents, including sale and purchase agreements, disclosures, representations and warranties insurance, LOIs, and NDAs.
• Lead M&A deal attorney for transaction structuring, due diligence, documentation, signing, and closing.
• Conduct legal due diligence and summarize key findings for decision-makers.
• Collaborate with tax, finance, HR, IP, contracts, ethics/compliance, privacy, IT and security teams.
• Support integration planning and execution for acquired businesses.
• Coordinate and oversee work of outside M&A counsel.
• Provide legal advice on Corporate Development and Cognizant’s M&A activities.
