Job summary

Cognizant is seeking an experienced Mergers and Acquisitions Attorney to join the Corporate Development group. The role focuses on U.S. and international transactions, guiding deals from structuring through integration and working with tax, finance, HR, IP, and compliance teams.

You'll lead negotiations, manage due diligence, and supervise outside counsel while delivering strategic value and risk-aware solutions. Strong communication and project management are essential.

Qualifications

• At least five years of M&A experience.
• Undergraduate and J.D. degrees from recognized institutions.
• Top law firm experience focused on US and cross-border M&A.

Responsibilities

• Draft and negotiate definitive transaction documents, including sale and purchase agreements, disclosures, representations and warranties insurance, LOIs, and NDAs.
• Lead M&A deal attorney, directing structuring, due diligence, documentation, signing, and closing.
• Perform legal due diligence and summarize findings for Corporate Development and Investment Committee.
• Collaborate with tax, finance, HR, IP, contracting, compliance, privacy, IT and security teams.
