Job summary

Cognizant is seeking a Mergers and Acquisitions Attorney to lead deal transactions within the Corporate Development department, focusing on U.S. transactions with international exposure.

The role requires at least five years in M&A, J.D. and undergraduate degrees, and extensive experience in both public and private deals. This remote position supports Cognizant’s global M&A activities and integration efforts.

Qualifications

• Five+ years of mergers and acquisitions experience.
• Undergraduate and J.D. degrees from well-recognized institutions.
• Top law firm experience focused on public and private mergers and acquisitions in the United States and across borders.
• Diverse and complex M&A transactional experience with the ability to apply it in new settings.
• End-to-end M&A process understanding from deal inception through integration.
• Strong project-management skills and attention to detail for large cross-functional projects.

Responsibilities

• Draft and negotiate definitive transaction documents, including sale and purchase agreements, disclosure letters, representations and warranties insurance documents, letters of intent, and confidentiality agreements.
• Lead M&A deal attorney duties, providing leadership for transaction structuring, due diligence, documentation, signing, and closing.
• Conduct due diligence on target companies and summarize key findings for Corporate Development and the Investment Committee.
• Collaborate with tax, finance, accounting, HR, IP, contracting, ethics/compliance, privacy, IT, and security specialists.
• Support integration initiatives for acquired businesses.
• Coordinate and oversee the work of outside M&A counsel.
• Provide legal advice on Corporate Development and Cognizant’s M&A activities.
