Job summary

Cognizant seeks an experienced Mergers and Acquisitions Attorney to support its Corporate Development team, leading deal lifecycle from structuring to closing. You will draft and negotiate documents and coordinate with internal and external counsel for US and cross-border transactions.

You will work with diverse specialists and contribute to integration planning, ensuring high-quality outcomes that align with Cognizant’s values and strategic goals.

Qualifications

• Five+ years of mergers and acquisitions experience.
• Undergraduate and J.D. degrees from recognized institutions.
• Top law firm experience focused on US and cross-border M&A.
• Diverse and complex M&A transactional experience.
• End-to-end M&A process knowledge from inception to integration.

Responsibilities

• Draft and negotiate definitive transaction documents, including SPAs and LOIs.
• Lead M&A deal attorney for structuring, due diligence, documentation, signing and closing.
• Conduct due diligence and summarize findings for the Investment Committee.
• Collaborate with tax, finance, HR, IP, and compliance teams.
• Support integration plans for acquired businesses.
• Coordinate outside M&A counsel and provide legal advice on Cognizant activities.
• Contribute to business discussions aligned with company goals and culture.
