Job summary

Cognizant is seeking an Mergers and Acquisitions Attorney to support the Corporate Development group, focusing on U.S. transactions with international work. You will lead deal counsel duties across the lifecycle, collaborate with tax, finance, HR, IP, and compliance teams, and oversee outside counsel.

Qualifications

• Five+ years of M&A experience.
• Undergraduate and J.D. degrees from recognized institutions.
• Top law firm M&A experience in U.S. and cross-border deals.
• Diverse, complex M&A transactional experience.
• End-to-end M&A process understanding from inception to integration.
• Strong project-management and attention to detail.

Responsibilities

• Draft and negotiate definitive transaction documents (SPAs, LOIs, NDAs).
• Lead M&A deal activity, including structuring, due diligence, documentation, signing and closing.
