Job summary

Stonegate Workforce Group is seeking a Mid-Level M&A Associate Attorney with 3–6 years of strategic M&A experience to own high-growth venture-backed technology transactions. This role offers significant responsibility with a clear path to partnership in a boutique setting.

The successful candidate will manage due diligence, draft and negotiate SPAs, APAs, LOIs, and term sheets, support cross-border deals, and serve as a primary client contact while working remotely across the United States.

Qualifications

• 3–6 years of dedicated strategic M&A experience at Big Law, a strong midsize firm, or reputable boutique.
• Ability to independently manage transactions end-to-end with limited hand-holding.
• Strategic M&A focus preferred over private equity; sell-side experience is a plus.
• Experience with venture-backed or technology company M&A transactions.
• Cross-border transaction experience (buy-side or sell-side).

Responsibilities

• Handle general corporate/ECVC work during slow periods.
• Draft/negotiate merger agreements, SPAs, APAs, LOIs, and term sheets.
