Job summary

BCG Attorney Search is seeking a mid-level Corporate & Securities Associate with mergers and acquisitions experience to support its national corporate practice. This fully remote position prefers candidates in PST/MST time zones but is open nationally in the United States.

The role involves drafting and negotiating complex transaction documents, managing due diligence, and coordinating with clients and partners. A JD from an accredited law school and US bar licensure are required.

Qualifications

• 2–4 years of corporate client experience at a top-tier law firm.
• Experience managing strategic transactions.
• Ability to draft and review transaction documents and disclosure schedules.
• Familiarity with anti-sandbagging and indemnity clauses.
• Knowledge of Reg D, Rule 144A, and Reg S offerings.
• Willingness to expand skills across the practice group.

Responsibilities

• Support clients on mergers and acquisitions and due diligence.
• Draft shareholder agreements, operating agreements, and resolutions.
• Take board minutes and manage document drafting.
• Assist with public company reporting and capital markets work.
