Job summary

Milliman is seeking a Counsel-Licensing to provide analysis and counsel on legal issues for the Health division. You will work with internal clients, draft and negotiate a range of contracts, and help ensure policy compliance within a global, distributed team.

Qualified candidates hold a J.D., a US bar license (WA or other jurisdiction), and at least four years in-house or law firm experience, including SaaS contracts. Remote role with up to 10% travel; salary range posted.

Qualifications

• Juris doctorate or equivalent.
• Licensed attorney in Washington or any US jurisdiction.
• Four years in-house or law firm experience, with two years in professional services or software.
• Intermediate MS Word and Outlook; working knowledge of SharePoint and OneNote.
• Experience drafting, reviewing, redlining, and negotiating SaaS subscriptions and software licenses.

Responsibilities

• Draft, redline, negotiate and advise on NDAs, SOWs, amendments, SaaS and vendor agreements.
• Under guidance of AGC, draft templates and review RFP requirements.
• Serve as legal advisor to internal clients and business owners.
• Interpret policies, identify legal risk and implement mitigation strategies.
• Assist with subpoena responses and support firm initiatives.
• Limited travel up to 10%.
