Job summary

Spring Health seeks a Staff Commercial Counsel to support its rapid growth in a fully remote role. You will draft, review, and negotiate a variety of commercial agreements, partner with Sales, Customer Success, and other teams, and provide practical legal guidance to balance business needs with risk.

Qualifications

• J.D. from an accredited law school and active U.S. state bar membership.
• 4+ years of relevant legal experience advising healthcare, health-tech, or regulated orgs.
• Demonstrated experience drafting, reviewing, and negotiating commercial contracts.

Responsibilities

• Draft, review, negotiate, and execute a broad range of commercial agreements including customer and vendor agreements, NDAs, amendments, and related documents.
• Collaborate with Sales, Customer Success, and internal teams on transactions supporting company growth.
• Provide practical, business-oriented legal guidance on contracts and risk allocation.
• Support Customer Success with contract administration, renewals, and execution of documents.
• Support procurement and vendor management, reviewing third-party terms and negotiating vendor agreements.
• Coordinate with Privacy, Compliance, Regulatory, Security, and Operations throughout the contract process.
• Improve contracting forms, policies, and playbooks to streamline processes.
• Assist in due diligence and strategic corporate projects.
