Job summary

Milliman, Inc. is seeking a Counsel-Licensing professional to provide analysis and counsel on legal issues for the Health division. The role collaborates with Milliman teams, drafts contracts and templates, and ensures compliance with legal policies. Travel is limited to domestic (up to 10%).

The position requires a JD, US licensure, and 4 years of in-house or law firm experience, including SaaS and software licensing work. Remote role with strong collaboration in a global organization.

Qualifications

• Juris doctorate or equivalent.
• Licensed attorney in WA or any US jurisdiction.
• 4 years in-house or law firm experience; 2 years in professional services or software.
• Intermediate MS Word and Outlook; working knowledge of SharePoint and OneNote.
• Contract management experience, Agiloft preferred.
• Experience drafting, reviewing, redlining, and negotiating SaaS subscriptions and software licenses.
• Strong ability to summarize terms and provide feedback to internal clients.
• Excellent written and verbal communication; able to work in a global, confidential environment.

Responsibilities

• Draft, redline, negotiate and advise on NDAs, SOWs, amendments and SaaS agreements.
• Under AGC guidance, draft templates and review RFP terms.
• Advise internal clients and business owners on legal matters.
• Interpret policies and identify risk; propose mitigation strategies.
• Support subpoenas and participate in firm, GCS or department initiatives.
