Job summary

Milliman, Inc is seeking a Counsel-Licensing attorney to support the Health division. You will draft, review, and negotiate various contracts, including NDAs, SOWs, MSAs, and SaaS agreements, while advising internal clients on legal risk and policy compliance.

The role involves collaborating across teams and limited domestic travel. You will report to the Associate General Counsel and work in a remote capacity, with a focus on empowering business leaders while ensuring regulatory compliance and

Qualifications

• Juris Doctorate or equivalent required.
• Licensed attorney in US state (WA or any other jurisdiction) required.
• 4 years in-house or law firm experience; 2 years in professional services or software sector preferred.
• Experience drafting, reviewing, redlining and negotiating SaaS subscriptions and software licenses.

Responsibilities

• Draft, redline, negotiate and advise on contracts including NDAs, SOWs, MSAs, SaaS agreements and vendor contracts.
• Under AGC guidance, draft templates and review RFP terms.
• Provide legal advice to internal clients and business owners.
• Interpret policies, identify risk and implement mitigation strategies under AGC guidance.
• Assist AGC with subpoena responses and support cross-team initiatives.
