Job summary

Gibson Dunn seeks a Knowledge Attorney for M&A/Private Equity to manage drafting resources, keep materials current with regulatory developments, and develop new guidance. The role requires deep M&A/PE experience and strong drafting judgment.

You will use AI and technology to benchmark forms against precedent, collaborating with Legal Technology & AI teams while maintaining substantive control over the forms. Reporting to senior KM & AI leadership.

Qualifications

• Strong interest in legal drafting and precedent, including how customary language evolves.
• Independent judgment on drafting issues, distinguishing material from immaterial differences, and making practical recommendations to senior lawyers.
• Eagerness to use AI and other emerging legal technology as a core part of substantive legal work.
• Excellent legal research, writing, and analytical skills, with exceptional attention to detail.
• Capacity to manage competing priorities and carry long-running substantive projects through to completion.

Responsibilities

• Serve as the primary substantive owner of the Firm’s M&A and Private Equity forms, with responsibility for accuracy, quality, consistency, and practical usefulness.
• Conduct systematic review to identify current resources, retire or archive outdated materials, and prioritize by use and importance.
• Review maintained forms against current law, regulatory developments, and Firm drafting standards for consistency.
• Develop new forms and drafting resources in response to recurring practice needs, drawing on Firm precedent and public filings.
• Coordinate focused review with M&A and Private Equity lawyers and specialists across practices.
• Manage the review cycle for resources with scheduled and interim reviews.
• Coordinate outside Delaware counsel review of core organizational documents on a regular cycle.
• Maintain documentation of substantive review and decisions for each item.
