The ideal candidate holds a JD, has 4+ years in corporate law, and brings hands-on M&A and contract drafting expertise. GA Bar admission is required and the position supports flexible, remote work.

You will counsel on governance, negotiations, and commercial agreements while interacting directly with clients to deliver strategic solutions.

Qualifikationen

• Active Georgia Bar license required.
• 4+ years of corporate law, business transactions, or commercial contracts experience.
• Experience drafting, reviewing, and negotiating complex business agreements.
• M&A experience including asset purchase agreements preferred.
• Healthcare or professional services transactional experience is a plus.

Aufgaben

• Draft, review, and negotiate mergers and acquisitions, asset purchase agreements, and other business transactions.
• Prepare and negotiate commercial leases, employment agreements, construction contracts, and corporate agreements.
• Advise clients on governance, formations, compliance, and contractual matters.
• Manage transactional matters with direct client collaboration.
• Conduct due diligence and identify transactional risks with practical solutions.
• Provide strategic guidance to business owners and healthcare professionals.
