Job description

We're partnering with a well-regarded corporate practice in Atlanta to identify their next mid-level Associate Attorney. This firm represents middle-market companies, private equity sponsors, and growth businesses across a range of transactions, and is looking for someone who can run deals independently rather than just support them.

About the Role

The team handles the full range of corporate work: M&A, private equity, corporate finance, and general corporate counseling for privately held and middle-market clients. Associates here get direct client contact early, primary drafting responsibility, and real ownership of transactions, with a seat at the table on deal strategy and structuring.

Responsibilities
  • Represent buyers, sellers, and sponsors in acquisitions, dispositions, mergers, and equity investments
  • Draft and negotiate purchase agreements, disclosure schedules, and ancillary transaction documents
  • Manage due diligence end to end, coordinating with tax, employment, IP, and regulatory colleagues
  • Support financings and other corporate finance transactions as needed
  • Advise clients on entity formation, governance, and general corporate matters
  • Manage deal timelines and closing logistics, including coordination with outside counsel and advisers
  • Supervise and mentor junior associates, reviewing their work product
  • Build direct client relationships and contribute to business development as your practice grows
Qualifications
  • J.D. from an accredited law school; active Georgia bar license (or eligibility for admission)
  • 3+ years of corporate transactional experience at a law firm, including M&A and/or private equity
  • Hands-on experience drafting and negotiating transaction documents
  • Ability to manage transactions independently through diligence and closing
  • Strong academic credentials and excellent drafting and communication skills
  • Comfortable working directly with clients and managing multiple deals at once
Required Skills
  • Corporate transactional work (M&A, private equity, or general corporate)
  • Drafting and negotiating purchase agreements and ancillary documents
  • Client counseling and relationship management
  • Deal and workload management
Preferred Skills
  • Middle-market or privately held company transaction experience
  • Private equity sponsor-side experience
  • Corporate finance or securities background
  • Business development and client relationship building
Equal Opportunity Statement

This isn't a firm looking to backfill a seat. They're actively building out their corporate team and want someone ready to run transactions, with a clear path toward greater deal leadership and client ownership. The firm is committed to providing equal employment opportunities to all employees and applicants and to creating an inclusive environment where diverse backgrounds, perspectives, and experiences are valued.
