Nesco Resource is partnering with a highly respected law firm to identify an experienced Corporate Paralegal to join its Corporate Practice Group. Qualifications

• Paralegal Certificate or Associates/Bachelor's in Paralegal Studies.
• Minimum of 5 years Corporate Paralegal experience, preferably in a law firm.
• Experience supporting corporate transactions, financing matters, and entity formations.
• Strong knowledge of UCC filings, due diligence, and governance documents.
• Excellent organizational, verbal and written communication skills.
• Proficiency with Word, Excel, Outlook; familiarity with legal software is a plus.
• Ability to work occasional overtime to support closings.

Responsibilities

• Prepare and file business formation, qualification, dissolution filings in multiple jurisdictions.
• Prepare franchise tax filings and assist with corporate compliance matters.
• Register nonprofit organizations and prepare federal and state tax exemption applications.
• Conduct legal research, lien searches, and due diligence investigations.
• Draft routine legal correspondence, including audit response letters.
• Assist with secured lending transactions, including UCC filings, collateral reviews, certificates, and consents.
• Coordinate pre-closing, closing, and post-closing activities, including closing checklists and signature pages.
• Obtain certified corporate documents and certificates of good standing.
• Work closely with attorneys and clients to resolve issues and ensure transactions progress smoothly.
• Provide exceptional client service while managing multiple priorities and meeting deadlines.
