Frontier AI Lab is seeking a Member of Legal Staff, Corporate Counsel to manage complex venture financings, governance and equity administration in a remote-first setting. The role emphasizes drafting, closing transactions, and maintaining corporate records while building AI-enabled legal workflows and templates.

You will collaborate across legal and operational teams, design scalable processes, and autonomously manage routine documents with outside counsel as needed.

Qualifikationen

• Extensive experience supporting venture financings, M&A, or similar corporate transactions.
• Strong knowledge of transaction documents, approvals, and closing processes.
• Experience with corporate governance, entity management, state filings, cap tables, and equity administration.
• Excellent drafting, proofreading, project management and communication skills.

Aufgaben

• Support venture financings, secondary transactions, board and stockholder approvals, and other corporate matters, including drafting documents and coordinating with outside counsel.
• Own transaction execution from signatures, checklists, and document circulation through closing sets and post-closing matters.
• Maintain the company’s master data room and ensure corporate records remain accurate, organized, and current.
• Manage corporate governance and entity administration, including state filings, annual reports, minute books, organizational documents, and subsidiary records.
• Administer cap tables, equity plans, and equity grants, including grants, exercises, transfers, cancellations, and reconciliation of equity records.
• Independently draft and manage routine corporate and legal documents, exercising judgment around when to escalate or involve outside counsel.
• Design AI-enabled legal intake and triage workflows, particularly for a highly asynchronous and Slack-driven environment.
• Build self-service tools, templates, playbooks, and automation for recurring legal processes such as NDAs, approvals, and signature requests.
• Identify repetitive legal work and develop systems that make the legal function faster, more accurate, and more scalable.
