Job summary

Tract Capital Management, LP is seeking a Legal Contract Analyst to manage end-to-end contract review, drafting, analysis, negotiation support, execution, and lifecycle management. You will collaborate with attorneys and business stakeholders to protect company interests and ensure regulatory compliance.

Responsibilities include drafting and negotiating NDAs, vendor, SaaS, consulting, and licensing agreements; maintaining templates and playbooks; tracking obligations; and supporting audits.

Qualifications

• Bachelor's degree or paralegal certification.
• A minimum of 3–5+ years in contract administration, contract management, legal operations, or related function.
• Strong understanding of commercial contracts, legal terminology, and risk management principles.
• Excellent communication, stakeholder management, and analytical skills.
• Experience with contract lifecycle management tools and Microsoft Office applications.

Responsibilities

• Review, draft, revise, and negotiate NDAs, vendor agreements, SaaS agreements, consulting agreements, statements of work, amendments and licensing agreements.
• Perform detailed contract risk assessments and identify non-standard terms across legal, financial, operational, data privacy, security, IP, and compliance.
• Collaborate with attorneys and business stakeholders to resolve contract issues and maintain contract lifecycle management from intake to execution, renewal, amendment, and termination.
• Develop and maintain contract templates, clause libraries, playbooks, and workflow documentation.
• Assist with legal review and operations workflows, signature processes, and document execution.
• Track key dates, notice periods, SLAs, payment terms, and contractual obligations.
• Analyze contract metrics and prepare reports on cycle times, workload, risk trends, and compliance requirements.
• Support audits by providing contract documentation and evidence of compliance.
• Ensure adherence to company policies and regulations including privacy, information security, procurement, and regulatory requirements.
• Provide training and guidance to business teams on contract processes and contracting best practices.
