Job summary

Tract Capital is seeking a Legal Contract Analyst to manage end-to-end contract review, drafting, negotiation support, execution and lifecycle management across NDAs, vendor and SaaS agreements. You will collaborate with attorneys and business stakeholders to mitigate risk and ensure regulatory compliance in a fast-paced environment.

The role requires 3–5+ years in contract administration or legal operations, strong communication skills, and experience with CLM tools.

Qualifications

• Bachelor’s degree or paralegal certification.
• 3-5+ years of experience in contract administration or legal operations.
• Strong understanding of commercial contracts and risk management.
• Excellent communication and stakeholder management skills.

Responsibilities

• Perform contract risk assessments including data privacy, security, IP and compliance terms.

• Develop templates, clause libraries, playbooks and workflows.
• Track key dates, service terms and obligations; support audits with documentation.
• Provide training on contracting processes and best practices.

Position Overview

The Legal Contract Analyst is responsible for the end-to-end review, drafting, analysis, negotiation support, execution, and lifecycle management of contracts. The role partners closely with key stakeholders to ensure agreements protect company interests, comply with legal and regulatory requirements, and support strategic business objectives.

Key Responsibilities

• Review, draft, revise, and negotiate NDAs, vendor agreements, SaaS agreements, consulting agreements, statements of work, amendments and licensing agreements.
• Perform detailed contract risk assessments and identify non-standard legal, financial, operational, data privacy, security, intellectual property, and compliance terms.
• Collaborate with attorneys and business stakeholders to resolve contract issues and recommend acceptable alternative language. Maintain contract lifecycle management from intake through execution, renewal, amendment, and termination.
• Develop and maintain contract templates, clause libraries, playbooks, and workflow documentation.
• Assist with legal review and operations workflows, signature processes, and document execution.
• Track key dates, notice periods, service-level commitments, payment terms, and contractual obligations.
• Analyze contract metrics and prepare reports on cycle times, workload, risk trends, and compliance requirements.
• Support internal and external audits by providing contract documentation and evidence of compliance.
• Ensure adherence to company policies and applicable regulations including privacy, information security, procurement, and regulatory requirements.
• Provide training and guidance to business teams on contract processes and contracting best practices.

Required Qualifications

• Bachelor’s degree or paralegal certification.
• 3-5+ years of experience in contract administration, contract management, legal operations, or a related function.
• Strong understanding of commercial contracts, legal terminology, and risk management principles.
• Excellent communication, stakeholder management, and analytical skills.
• Experience with contract lifecycle management (CLM) tools and Microsoft Office applications.

Preferred Qualifications

• Experience supporting an in-house legal department.
• Knowledge of SaaS, technology, procurement, or regulated-industry contracts and non-disclosure agreements.
• Experience with DocuSign, or similar platforms.

Travel Requirement: Less than 10%

Expected Salary Range: $68,000 - $88,000 Base Salary + DiscretionaryBonus
