Job summary

Rocket Software's in-house legal team seeks a Legal Counsel to support revenue-generating activities for the Americas sales organization. You will provide strategic legal advice to customers, partners and vendors, and draft/negotiate commercial agreements including direct sales and partner arrangements.

You will counsel on complex IT contracts, data protection and export controls, while collaborating with cross-functional teams to manage risk and ensure regulatory compliance across the business.

Qualifications

• Must be licensed to practice law in at least one US State.
• Minimum of 2 years’ experience in a law firm and in-house positions.
• Experience in software and/or high technology industries.
• Experience in international transactions.
• Experience with technology sales, licensing and procurement transactions and related distributor, reseller, cloud computing, and software product and services agreements.
• Demonstrated ability to draft, review and negotiate complex IT contracts.
• Knowledge of software licensing, data protection, export control and anti-corruption laws.

Responsibilities

• Structure, draft and negotiate a variety of commercial agreements, including direct sales and partner agreements and associated ancillary documents.
• Provide legal support to management and business units regarding applicable laws and regulations and participate in new business processes within the business and risk areas.
• Counsel the business team on legal issues and risks, business strategies, complex deal structures, approval processes, IP and other issues related to technology transactions.
• Provide day to day responses to requests for legal support for the company as needed.
• Counsel and collaborate with other members of the legal department in areas of expertise.
• Ensure group companies’ compliance to laws and regulations such as Data Protection, Anti-bribery, Export Controls and other legal and regulatory requirements.
