Job summary

Rocket Software's in-house legal team seeks a Legal Counsel to support revenue-generating activities for the Americas sales organization while providing strategic, cross-functional legal advice to significant customers, partners and vendors.

As such, the successful candidate will provide commercial legal services to in-house clients, primarily Sales, and across multiple functions while partnering with internal stakeholders and external customers.

Qualifications

• Strong academic credentials, law degree.
• Must be licensed to practice law in at least one US State.
• Minimum of 2 years’ experience in a law firm and in-house legal positions.
• Experience in software and/or other high technology industries.
• Experience in international transactions.
• Experience with technology sales, licensing and procurement transactions and related distributor, reseller, cloud computing, and software product and services agreements.
• Demonstrated ability to draft, review and negotiate complex IT contracts.
• Knowledge of and experience with pertinent laws, including software licensing, data protection, export control and anti-corruption laws.
• Ability to clearly articulate and defend risk analysis; critically examine business practices to ensure they are aligned with legal requirements; provide advice regarding business practice risk.
• Successful candidate is a proven team player and consensus builder that takes a business approach to law.
• Successful candidate is a flexible self-starter and proactive problem solver who can work autonomously and handle significant client contact.
• Effective written and oral communication skills are essential. Ability to clearly present information, in writing and orally, respond to questions from executives, managers, customers, and other employees, with focus on client service.
• Diplomatic, approachable and possessing good business and personal judgment.
• Must manage conflicting demands from multiple business clients in a fast-paced environment.
• Inherent ability to act with the highest integrity and professionalism.
• Excellent organizational skills; ability to manage multiple projects at once, follow through and meet deadlines.

Responsibilities

• Structure, draft and negotiate a variety of commercial agreements, including direct sales and partner agreements, and related documents.
• Provide legal counsel on business deals; resolve issues in existing commercial relationships; support management and business units on applicable laws and regulations.
• Counsel the business team on legal issues, risks, and technology transactions.
• Provide day-to-day responses to requests for legal support for the company.
• Work on significant and unique issues requiring legal analysis and data evaluation.
• Exercise independent judgment to determine methods and procedures on assignments.
• Collaborate with other members of the legal department.
• Ensure compliance to laws and regulations such as Data Protection, Anti-bribery, Export Controls.
• Maintain and update governance policies; monitor changes in legislation and embed actions.
