Qualifications

• Active bar membership and at least 6 years negotiating complex commercial agreements.
• Experience with SaaS, technology transactions, data licensing, or enterprise procurement.
• Ability to distinguish legal risk, business risk, and market-standard compromise positions.

Responsibilities

• Review sophisticated commercial agreements for allocation of liability, intellectual-property rights, privacy obligations, termination risk, and negotiation strategy.
• Assess whether AI-generated redlines protect the client while remaining consistent with the transaction context and market practice.
• Identify conflicting provisions, missing operational details, ambiguous remedies, and downstream obligations that require clarification.
• Explain the difference between legal exposure, business tradeoffs, and positions that should be escalated during negotiation.
