Job summary

Collectivus Holdings is seeking an Associate General Counsel (Remote) to provide practical, business-focused legal support across the organization. The role emphasizes contract review, corporate governance, and coordination with outside counsel.

The ideal candidate will be highly organized, detail-oriented, and capable of handling a high volume of matters across multiple jurisdictions. You will collaborate with executives to execute priorities and escalate when needed.

Qualifications

• J.D. from an accredited law school and active license to practice law in at least one U.S. jurisdiction.
• Approximately 4–6 years of relevant legal experience, ideally combining in-house and/or law firm experience.
• Strong commercial contracting experience, including drafting, reviewing, and negotiating business agreements.
• Experience with corporate governance, entity management, and legal document administration.
• Ability to manage multiple matters simultaneously in a fast-paced, multi-entity organization.
• Strong organizational skills and exceptional attention to detail.
• Practical judgment and the ability to distinguish between routine matters and issues requiring escalation or specialized counsel.
• Strong written and verbal communication skills.
• Comfortable working collaboratively with executives, business leaders, and outside counsel.

Responsibilities

• Draft, review, revise, and manage a broad range of commercial agreements, including NDAs, vendor agreements, service agreements, consulting agreements, partnership agreements, licensing agreements, and other routine contracts.
• Coordinate entity formation, registrations, annual filings, board/shareholder documentation, and other corporate records.
• Create organized processes for legal intake, document retention, approvals, signatures, and recordkeeping.
• Manage the company's legal calendar, including deadlines, renewals, and registrations.
• Coordinate with outside counsel on matters requiring specialized expertise and track open matters and spend.
