Job summary

Collectivus Holdings seeks an Associate General Counsel to provide practical, business-focused legal support across the organization, with emphasis on contract review, corporate governance, and compliance. This remote role collaborates with executives to execute priorities across multiple jurisdictions.

Qualifications

• J.D. from an accredited law school.
• Active license to practice law in at least one U.S. jurisdiction.
• Strong commercial contracting experience including drafting, reviewing, and negotiating business agreements.
• Experience with corporate governance, entity management, and legal document administration.
• Ability to manage multiple matters in a fast-paced multi-entity organization.
• Excellent written and verbal communication; able to collaborate with executives and outside counsel.

Responsibilities

• Draft, review, revise, and manage a broad range of commercial agreements (NDAs, vendor, service, consulting, licensing, etc.).
• Support contract negotiations within company parameters and escalate issues as needed.
• Develop and maintain contract templates, playbooks, and approval processes.
• Manage contract workflows from request to retention, ensuring proper execution and storage.
• Maintain corporate records across entities and support formation, filings, and governance docs.
• Coordinate with Finance, People, and others to ensure current corporate information and documentation.
• Establish and maintain a centralized repository for contracts and legal docs; improve workflows and controls.
• Coordinate with outside counsel for specialized matters and track progress, deadlines, and spend.
• Provide day-to-day legal support across business teams and assist with policies and compliance initiatives.
