Job summary

Switch is seeking a Legal Counsel, Real Estate to guide the company through acquisitions, leasing, development, and financing of real estate projects. You will partner with Campus Development, Construction, and Power teams to manage risk and structure complex transactions.

Ideal candidates have a J.D., active U.S. license, 4–7 years of commercial real estate experience, and strong drafting, negotiation, and analytical skills. Experience with construction or design matters is a plus.

Qualifications

• J.D. from an accredited law school.
• Active license to practice law in at least one U.S. jurisdiction, with membership in good standing.
• Approximately 4-7 years of relevant commercial real estate transactional experience at a law firm, in-house legal department, or both.
• Strong knowledge of complex commercial real estate transactional and development matters.
• Strong drafting, negotiation, analytical, communication, and problem-solving skills.
• Excellent attention to detail and ability to manage multiple matters and deadlines.

Responsibilities

• Draft, review, and negotiate complex agreements related to the acquisition, leasing, development, financing, and operation of real estate.
• Assist with and independently manage portions of transactions from letter of intent/term sheet stage through definitive agreement negotiations, due diligence, closing, and post-closing matters.
• Supervise site diligence workstreams and review and analyze title commitments, exception documents, surveys, zoning materials, environmental reports, property condition assessments, and other due diligence materials.
• Prepare and review transaction closing documents, settlement statements, and post-closing deliverables.
• Advise internal stakeholders of legal strategies and risk allocation in alignment with company business objectives and project timelines.
• Provide legal support for all phases of real estate development, including entitlements, infrastructure arrangements, development-related diligence, design, and commissioning.
• Assist with real estate financing matters, including preparation of applicable documentation and review of lender-required deliverables.
• Monitor developments in real estate law and related regulatory requirements.
