Overview

• Requires domestic and international Agency Lender experience.
• Work includes significant contractual drafting, reviewing, and negotiating of credit facilities, related financing documentation (e.g., security, accounts, intercreditor agreements), and project agreements (e.g., purchase/sale, procurement, construction, joint venture, supply, and offtake agreements).
• Counsel clients on joint ventures, private equity investments, and strategic transactions for public and private companies in industries related to the practice, and solve legal problems concerning heavily-regulated industries.
• Manage deal teams and processes across practice areas and geographic locations, and serve as a primary point of contact for clients, opposing counsel, and other transactional legal teams.
• Manage and conduct due diligence, and perform legal research and draft memoranda.
• Opportunity to support both financing and project development work streams.
• Collaborate with colleagues from the firm’s M&A, Capital Markets, and Regulatory & Compliance practices within multidisciplinary project teams.
• Contribute to major, high-profile transactions which can take months or years to close, requiring flexibility in hours due to fluctuating work pace.
• Fluency in other languages pertinent to the work is a significant asset, and international experience and a good understanding of key risks and issues involved in cross-border transactions are a plus.
• Expected to mentor and train junior team members, and participate in continuing education classes and client development initiatives.
