Job summary

Orrick, a global law firm, seeks a Paralegal with 2+ years of experience to support the Private Fund Practice within the Technology Companies Group. The role can be based in San Francisco, Menlo Park, Orange County, or Washington DC, with potential flexibility for additional offices.

You will assist with fund formation, investor onboarding, and ongoing fund management, handling documents such as partnerships, LLCs, subscription agreements, and regulatory filings, while coordinating with clients

Qualifications

Bachelor's degree required; paralegal ABA certificate preferable but not required.
2+ years of paralegal experience.
Strong organization and verbal and written communication skills.
Ability to delegate tasks to other firm resources.
Proficiency in Word, Excel and practice-related software.
Understanding of Delaware, New York, and California corporate law.
Knowledge of private fund formation procedures and documents.

Responsibilities

Assist attorneys with formation and structuring of private investment funds, including LPs and LLCs.
Draft, review, and organize fund formation documents, amendments, cancellations and foreign qualifications.
Prepare Form SS-4s, apply with the IRS and obtain EINs for fund entities.
Prepare initial drafts of offering documents: LPA, subscription, transfer agreements, side letters.
Work with clients on fund formation and fund management matters.
Coordinate fund subscription processes for pre- and post-closing activities; draft spreadsheets; review subscription docs.
Prepare DocuSign PowerForms for subscription documents.
Review subscription documents via Passthrough, Anduin, Carta, AngelList, etc.
Maintain closing checklists, signature pages, doc execution logistics, and distribution of signature pages.
