Orrick seeks a highly qualified Paralegal with 2+ years of experience to join the Private Fund Practice within the Technology Companies Group. This role supports fund formation, investor onboarding, and ongoing fund management across multiple offices, including SF, DC, and more.

You will draft and organize fund documents, coordinate subscriptions, and assist with SEC/FINRA filings, under tight deadlines. The ideal candidate has a bachelor’s degree (paralegal certificate preferred) and strong

Qualifications

Bachelor's degree required; paralegal certificate preferable but not required.
2+ years of paralegal experience
Strong organization and communication skills; detail-oriented
Ability to delegate tasks to firm resources
Proficiency with Microsoft Word, Excel, and practice-related software
Understanding of Delaware General Corporate Law, NY Business Corporate Law and CA Corporations Code

Responsibilities

Assist with formation and structuring of private investment funds (LPs/LLCs).
Draft, review, and organize fund formation docs and amendments.
Prepare Form SS-4s and obtain EINs; file Form IDs, D and blue-sky notices.
Prepare initial drafts of offering documents and side letters.
Work with clients on fund formation and management matters.
Coordinate fund subscription processes and review documents.
Prepare DocuSign PowerForms for fund entities.
Review subscription docs from Passthrough, Anduin, Carta, AngelList, etc.
Maintain closing checklists, signature pages, and distribution of closing sets.
Assist with SEC/FINRA filings (Form ADVs) and other regulatory tasks.
Track outstanding regulatory/compliance items; coordinate with teams and outside counsel.
