Job summary

Orrick is seeking a highly qualified Paralegal with 2+ years of experience to join the Private Fund Practice within the Technology Companies Group. This position can sit in San Francisco, Menlo Park, Orange County, or Washington DC offices, or possibly other offices depending on the candidate.

The Private Funds Paralegal will support attorneys in fund formation, investor onboarding, and fund management, with a strong understanding of private fund structures and documentation.

Qualifications

• 2+ years paralegal experience in fund formation/documentation preferred
• Strong organizational and communication skills
• Ability to work in a high-volume, fast-paced environment

Responsibilities

• Assist with formation and structuring of private investment funds (LPs/LLCs)
• Draft and organize fund formation documents and amendments
• Prepare IRS-related filings and EINs for fund entities
• Draft initial offering documents (LPAs, subscription agreements, side letters)
• Coordinate fund subscriptions and investor communications
• Prepare and file forms (ID, D, blue-sky) and assist with SEC/FINRA filings
