Qualifications

  • Assist with SEC/FINRA filings (Form ADVs) and regulatory tracking
  • Coordinate with internal teams and outside counsel to ensure timely closings

Job description

Overview

Orrick is seeking a highly qualified Paralegal with 2+ years of experience to join our Private Fund Practice within our Technology Companies Group. This position would be located in our San Francisco, Menlo Park, Orange County, or Washington DC offices or possibly other offices depending on the candidate.

What will you do?

The Private Funds Paralegal will play a key role in supporting attorneys in all phases of fund formation, investor onboarding, fund management, along with a strong understanding of private fund structures and documentation.

Responsibilities
  • Assist attorneys with the formation and structuring of private investment funds, including limited partnerships and limited liability companies.
  • Draft, review, and organize fund formation documents, amendments, cancellations and foreign qualifications.
  • Prepare Form SS-4s, apply with the IRS and obtain EINs for various fund entities.
  • Prepare initial drafts of offering documents, including limited partnership agreements, subscription agreements, transfer agreements, and side letters.
  • Work directly with clients on many fund formation and fund management matters.
  • Coordinate fund subscription processes for both pre-closing and post-closing activities, including drafting fund spreadsheets, tracking investor correspondence, and reviewing subscription documents.
  • Prepare DocuSign PowerForms with the subscription documents for various fund entities.
  • Review subscription documents submitted through third party platforms like Passthrough, Anduin, Carta, AngelList, etc.
  • Maintain and manage closing checklists, signature pages, document execution logistics and distribution of signature pages and closing sets.
  • Prepare and file Form ID, Form D and blue-sky notices.
  • Assist with other SEC/FINRA regulatory filings, including Form ADVs.
  • Track and monitor outstanding regulatory and compliance items.
  • Coordinate with internal teams, clients, fund formation, and outside counsel to ensure timely completion of transactions, and ensure smooth workflow.
Qualifications
  • A bachelor's degree is required, and a paralegal certificate from an ABA-approved training program is preferable but not required
  • 2+years of equivalent paralegal experience
  • Demonstrates good organization, verbal and written communication skills, plus exhibits aptitude to develop specific and detailed knowledge and understanding of complex issues and procedures
  • Proven ability to delegate appropriate tasks to other firm resources
  • Strong time management skills, and ambition to work in a dynamic, shared environment are essential
  • Excellent computer skills with proficiency in Microsoft Word, Excel and any practice-related software
  • An understanding of Delaware General Corporate Law, New York Business Corporate Law and California Corporations Code
  • Significant substantive working knowledge of the procedures, terminology and documents relating to the formation of a variety of corporate entities.

California Requirements: In the California offices, paralegals must meet the qualifications, including compliance with the continuing education requirements, as set forth in the California Business and Professions Code, Section 6450 et seq.

Compensation and Benefits

The expected salary range for this position is:

  • New York City, Silicon Valley, and San Francisco $60,000 - $80,000
  • Washington DC, Los Angeles, Orange County, Santa Monica, Sacramento, Boston, and Seattle $60,000- $75,000
  • All Other US Locations $55,000 - $70,000

This compensation and benefits information is based on the Orrick's estimate as of the date of publication and may be modified in the future. The level of pay within the range will depend on a variety of job-related factors that may include, but not limited to, qualifications, relevant experience or education, particular skills or expertise, geography. Other compensation may include an annual discretionary merit bonus, which would be determined by Firm and individual performance.
