Job summary

Orrick seeks a Paralegal with 2+ years of experience to join the Private Fund Practice within the Technology Companies Group. This role supports attorneys across fund formation, investor onboarding, and fund management in San Francisco, Menlo Park, Orange County, or Washington DC, with potential other offices based on candidate location.

You will draft and organize fund documents, prepare IRS forms, and coordinate closing activities while maintaining compliance with relevant laws and firm

Qualifications

• Bachelor’s degree required; paralegal certificate preferred but not required
• 2+ years of paralegal experience
• Strong organization and communication skills; detail-focused
• Ability to delegate tasks to firm resources
• Excellent time management in a dynamic, shared environment
• Proficient in Word, Excel; familiarity with practice-related software
• Knowledge of Delaware & New York corporate law and California corporations code
• Experience with private fund formation documents and related filings

Responsibilities

• Assist with formation and structuring of private investment funds (LPs/LLCs)
• Draft, review, and organize fund formation documents
• Prepare SS-4s and obtain EINs from IRS
• Draft initial offering documents (LPAs, subscription agreements, side letters)
• Coordinate fund subscription and closing events
• Prepare and file Form ID, Form D, and blue-sky notices
• Assist with SEC/FINRA filings (Form ADVs) and regulatory tracking
• Coordinate with internal teams and outside counsel to ensure timely closings
