Mid-Level Private Funds Associate Attorney

A leading private funds practice is seeking a talented Mid-Level Private Funds Associate to join its growing team. This opportunity offers sophisticated fund formation work, significant exposure to institutional and emerging fund sponsors, and a clear platform for continued development within a highly collaborative environment.

The position is particularly well suited to an associate who has established strong private funds experience and wants to deepen their technical expertise while taking greater ownership of complex matters and client relationships.

The Role

The Successful Candidate Will Advise Sponsors And Other Market Participants Across The Formation, Structuring, And Ongoing Operation Of Private Investment Vehicles, Including

• Private equity funds
• Venture capital funds
• Private credit funds
• Real estate funds
• Impact and other alternative investment strategies
• Limited partnerships and limited liability companies
• Joint ventures and related investment structures
• Fund formation, structuring, governance, and operational matters
• Drafting and negotiating sophisticated fund and organizational documentation
• Advising clients throughout the lifecycle of private investment vehicles

Associates will have the opportunity to work on complex, high-profile matters while developing greater responsibility for transaction management, drafting, negotiations, and direct client interaction.

Candidate Profile

Candidates should have 3–5 years of substantive private funds experience, including the formation and operation of private investment funds. Experience with private equity, venture capital, credit, impact, real estate, or comparable alternative investment funds is particularly relevant. Experience with limited partnerships, LLCs, and joint ventures is also valuable.

Candidates must have a JD and previous experience working in a law firm, ideally within a sophisticated private funds practice. Admission to the Bar in the jurisdiction of practice, or eligibility to waive in, is required. Strong academic credentials, excellent drafting skills, sound judgment, and the ability to communicate complicated legal and commercial concepts clearly and efficiently are expected.

For applicable California and Colorado locations, the stated annual base salary range is $260,000–$365,000. Additional compensation may include a discretionary bonus.
