Accounting Search is assisting a premier AmLaw 50 firm seeking a mid-level Associate Attorney to join its Debt Finance Practice Group. The role focuses on complex debt financing transactions for private equity sponsors, banks, and private credit lenders across diverse deal structures.

The ideal candidate will have a JD from a top-tier law school, active bar admission, and 3–8 years of leveraged finance experience, with strong drafting and negotiation skills.

Qualifications

• JD from a top-tier law school with strong academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing, or eligibility to obtain admission promptly.
• 3–8 years of substantive experience representing private equity sponsors, banks, and/or private credit lenders in leveraged finance.
• Experience structuring, drafting, and negotiating term and revolving credit facilities for leveraged buyouts, acquisitions, and growth.
• Prior experience at an AmLaw 100 or similarly sophisticated firm preferred.
• Excellent communication, organizational, and analytical abilities; experience managing complex workstreams and coordinating with multiple stakeholders.

Responsibilities

• Represent private equity sponsors and financial institutions in sophisticated debt finance transactions.
• Draft, negotiate, and manage key financing documents such as commitment papers, credit agreements, and security documents.
• Advise clients on structuring and execution of senior, mezzanine, and unitranche facilities.
• Collaborate with colleagues across private equity, M&A, tax, and restructuring teams to deliver transactional support.
• Serve as a key contributor through all stages of transactions—from term sheet negotiations through closing.

This is an exciting opportunity to work on complex and high-value debt financing transactions for elite private equity sponsors, direct lenders, and financial institutions across a wide range of industries and deal structures.

Candidate Profile

• JDfrom atop-tier law schoolwith astrong academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing, or eligibility to obtain admission promptly.
• 3–8 years of substantive experience representing private equity sponsors, banks, and/or private credit lenders in connection with leveraged finance transactions.
• Deal Experience: Demonstrated expertise in structuring, drafting, and negotiating term and revolving credit facilities for leveraged buyouts, acquisition financings, and corporate growth.
• Documentation: Strong proficiency in drafting and negotiating commitment letters, credit agreements, and collateral documents.
• Prior experience at an AmLaw 100 or similarly sophisticated firm preferred.
• Soft Skills: Excellent communication, organizational, and analytical abilities; experience managing complex workstreams and coordinating with multiple stakeholders; proven ability to thrive in a fast-paced, high-performance environment.

• Collaborate with colleagues across the firm’s private equity, M&A, tax, and restructuring teams to deliver comprehensive transactional support.
• Serve as a key contributor throughout all stages of transactions—from term sheet negotiations through closing.

Compensation & Benefits

• Competitive Compensation:Annual base salary is expected to range from$260,000 – $435,000, depending on experience, qualifications, and market factors.
