Our client, an AmLaw 50 firm, seeks a mid-level Associate Attorney to join its Debt Finance Practice Group in Boston and other locations. The role focuses on complex leveraged finance transactions for private equity sponsors, direct lenders, and financial institutions.

The candidate will draft and negotiate credit facilities, assist with structuring, and collaborate with cross-functional teams across private equity, M&A, tax, and restructuring. A hybrid work arrangement is available.

Qualifications

• JD from a top-tier law school with a strong academic record.
• Active Bar Admission in the relevant jurisdiction, or eligible to obtain admission promptly.
• 3–5 years of experience representing private equity sponsors, banks, and/or private credit lenders in leveraged finance.
• Experience structuring, drafting, and negotiating term and revolving credit facilities for leveraged buyouts and acquisitions.
• Prior AmLaw 100 or similarly sophisticated firm preferred.

Responsibilities

• Represent PE sponsors and financial institutions in sophisticated debt finance transactions.
• Draft, negotiate, and manage key financing documents such as commitment papers, credit agreements, and security agreements.
• Advise on structuring and execution of senior, mezzanine, and unitranche facilities.
• Collaborate with colleagues across private equity, M&A, tax, and restructuring teams for transactional support.
• Serve as a key contributor from term sheet through closing.

This is an exciting opportunity to work on complex and high-value debt financing transactions for elite private equity sponsors, direct lenders, and financial institutions across a wide range of industries and deal structures.

Candidate Profile

• JD from a top-tier law school with astrong academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing, or eligibility to obtain admission promptly.
• 3--5 years of substantive experience representing private equity sponsors , banks ,and/or private credit lenders in connection withleveraged finance transactions.
• Deal Experience : Demonstrated expertise in structuring , drafting , and negotiating term and revolving credit facilities for leveraged buyouts , acquisition financings , and corporate growth.
• Documentation: Strong proficiency in drafting and negotiating commitment letters , credit agreements , and collateral documents.
• Prior experience at an AmLaw 100 or similarly sophisticated firm preferred.
• Soft Skills: Excellent communication, organizational, and analytical abilities; experience managing complex workstreams and coordinating with multiple stakeholders; proven ability to thrive in a fast-paced, high-performance environment.

• Draft, negotiate, and manage key financing documents such as commitment papers, credit agreements, and security agreements.
• Advise clients on structuring and execution of senior , mezzanine , and unitranche facilities.
• Collaborate with colleagues across the firm's private equity, M&A, tax, and restructuring teams to deliver comprehensive transactional support.
• Serve as a key contributor throughout all stages of transactions---from term sheet negotiations through closing.

Compensation & Benefits

• Competitive Compensation: Annual base salary is expected to range from $260,000 -- $365,000, depending on experience, qualifications, and market factors.
