Job summary

The People Of: Professional Services seeks a Debt Finance Associate Attorney in New York or Los Angeles with 2–5 years of meaningful debt finance experience. You will advise lenders, borrowers, financial institutions, and private capital clients on sophisticated financing matters.

You will draft and negotiate credit documents, manage diligence and closings, and work with partners across offices on secured lending, cross-border matters, and structured financings.

Debt Finance Associate Attorney

Locations: New York | Los Angeles | Cincinnati | Columbus

Experience: 2–5 Years

Compensation: $235,000 – $315,000 in New York and Los Angeles + Bonus

A growing national Debt Finance practice is seeking a talented Associate with 2–5 years of experience to join a busy transactional team advising lenders, borrowers, financial institutions, and private capital clients on sophisticated financing matters.

This is an opportunity to build meaningful experience across a varied finance practice rather than being limited to a narrow product area. Associates work directly with experienced partners and colleagues across multiple offices and practices while taking substantive responsibility for transactions and client relationships.

The Role

The successful candidate will advise arrangers, agents, lenders, and borrowers on syndicated and bilateral credit facilities and a broad range of secured and unsecured financing transactions.

The Practice Handles Matters Including

• Secured term loans and revolving credit facilities
• Cash flow and asset-based lending
• Leveraged acquisition financings
• First-lien, second-lien, mezzanine, and unsecured financings
• Venture-stage and middle-market debt transactions
• Select investment-grade and cross-border financings
• Restructurings, workouts, and certain project finance matters

Associates will draft, review, and negotiate credit agreements, security agreements, guarantees, intercreditor and subordination agreements, commitment and fee letters, term sheets, promissory notes, amendments, and related transaction documentation.

The role also involves managing diligence and closing processes, addressing secured transaction issues under UCC Articles 8 and 9, coordinating third-party deliverables, and working directly with clients throughout transactions.

Candidate Profile

Candidates Should Have

• 2–5 years of meaningful debt finance experience
• Experience representing lenders and/or borrowers in syndicated or bilateral credit facilities
• Strong experience drafting and negotiating financing documentation
• Familiarity with secured lending principles, including UCC Article 9
• Experience conducting transactional diligence and managing complex closings
• Exposure to clients such as banks, debt funds, private equity sponsors, and privately held companies
• Strong drafting, analytical, organizational, and communication skills
• For more senior candidates, experience with legal opinions and related opinion diligence is beneficial
• A JD
• Previous experience working in a law firm
• Admission, or eligibility for admission by waiver, in the jurisdiction where the candidate will practice

Experience across a varied range of secured lending transactions—including middle-market financings, acquisition finance, venture debt, restructuring, cross-border matters, or mezzanine finance—is particularly valuable.

Compensation & Benefits

For New York and Los Angeles, the expected annual base salary range is $235,000 – $315,000, depending on experience and other relevant factors. Associates may also participate in a performance- and hours-based bonus program.
