AmLaw 50 firm seeks a driven mid-level Associate Attorney to join its Debt Finance Practice Group in Boston with hybrid flexibility. The role involves handling sophisticated debt financing transactions for private equity sponsors, banks, and lenders.

Ideal candidates have 3–5 years of relevant experience, a JD from a top-tier school, and active bar admission. Prior AmLaw 100 experience preferred. You will draft and negotiate credit facilities and document complex deal structures.

Qualifications

• JD from a top-tier law school with a strong academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing, or eligible to obtain admission promptly.
• 3–5 years of experience representing private equity sponsors, banks, or private credit lenders in leveraged finance transactions.
• Experience structuring, drafting, and negotiating term and revolving credit facilities for leveraged buyouts, acquisition financings, and corporate growth.

Responsibilities

• Represent PE sponsors and financial institutions in debt finance transactions.
• Draft, negotiate, and manage financing documents such as commitment papers and credit agreements.
• Advise on structuring and execution of senior, mezzanine, and unitranche facilities.
• Collaborate with PE, M&A, tax, and restructuring teams to provide transactional support.
• Serve as a key contributor from term sheet to closing.
