Job summary

Stonepath, a growing law firm, is seeking an experienced Corporate Transactions Partner to join its Los Angeles practice (Las Vegas candidates considered). The role offers a hybrid schedule and the opportunity to lead sophisticated corporate matters for a diverse client base.

You will work directly with clients on mergers, acquisitions, and complex agreements, serve as outside general counsel, and collaborate with attorneys across the firm. California or Nevada bar admission is required.

Qualifications

• 10+ years of corporate transactional experience in a law firm setting.
• Broad experience advising businesses on corporate and commercial matters.
• Experience drafting, reviewing, and negotiating complex corporate and commercial agreements.
• Experience with mergers and acquisitions and other business transactions.
• Ability to serve as an outside general counsel and trusted advisor to business clients.
• Active California or Nevada Bar admission, depending on office location.
• Strong drafting, negotiation, analytical, and client counseling skills.
• Ability to independently manage sophisticated matters and client relationships.

We’re partnered with a growing, multi-practice law firm seeking an experienced Corporate Transactions Partner to join its sophisticated transactional practice. The primary need is in Los Angeles, with candidates in Las Vegas also being considered.

This is an excellent opportunity for an experienced corporate attorney who enjoys serving as a trusted advisor to businesses across a broad range of transactional and general corporate matters. The Partner will work directly with clients on sophisticated transactions, corporate agreements, and day-to-day business matters while collaborating with attorneys across the firm.

What You’ll Need:

• 10+ years of corporate transactional experience in a law firm setting
• Broad experience advising businesses on corporate and commercial matters
• Experience drafting, reviewing, and negotiating complex corporate and commercial agreements
• Experience with mergers and acquisitions and other business transactions
• Ability to serve as an outside general counsel and trusted advisor to business clients
• Active California or Nevada Bar admission, depending on office location
• Strong drafting, negotiation, analytical, and client counseling skills
• Ability to independently manage sophisticated matters and client relationships

Bonus Points if You Have:

• Significant outside general counsel experience
• Experience with M&A, corporate governance, and internal corporate agreements
• Experience negotiating manufacturing, distribution, or other commercial agreements
• Experience representing businesses ranging from emerging companies to established corporations
• Portable business or an established network of client relationships
