Job summary

Brookfield Place New York is seeking a paralegal/legal analyst for the Real Estate Group's funds team in New York. You will manage entity database, handle legal documents, assist with formations, and prepare tax forms while supporting the global fund operations.

You will work closely with the legal team, coordinate with service providers, and support governance, KYC requests, and annual processes in a fast-paced environment. Travel to Toronto welcomed a few times per year.

Qualifications

• Bachelor’s degree required.
• 2-3 years of experience in legal/paralegal work.
• Exceptional attention to detail.
• Strong organizational and time management skills.
• Excellent interpersonal, written and verbal skills.
• Proficiency in Word, Excel, PowerPoint, and PDF workflows.
• Experience with Diligent/Blueprint and/or iManage is a plus.
• Willingness to travel to Toronto a few times per year.

Responsibilities

• Manage the corporate entity database, including initial entries and the bi-annual ownership attestation process, and assist in all other entity maintenance protocols
• Manage the legal document system and maintain organization of all legal documents
• Assist with U.S. and other jurisdictional entity formations and state qualifications, if required, and the dissolution of entities
• Apply for Employee Identification Numbers for domestic and foreign entities and Global Intermediary Identification Numbers, if required
• Prepare tax forms (W-8s/W-9s)
• Assist with bank account openings and onboarding entities with the fund administrator and other service providers
• Assist with filings required under U.S. securities laws
• Advise registered agent of any entity formations, name changes, conversions and dissolutions
• Draft initial operating agreements, resolutions and internal loan documents
• Respond to internal and external requests for information for KYC and other purposes
• Assist in preparing and maintaining structure charts
• Maintain D&O registers
• Assist in annual processes, ad hoc projects and corporate governance matters generally
