Brookfield is committed to the development of our people through challenging work assignments and exposure to diverse businesses.Job DescriptionThe law clerk/paralegal will be a member of the Real Estate Group’s funds team responsible for global fund legal operations and will support the legal team.Responsibilities:Manage the corporate entity database, including initial entries and the bi-annual ownership attestation process, and assist in all other entity maintenance protocolsManage the legal document system and maintain organization of all legal documentsAssist with U.S. and other jurisdictional entity formations and state qualifications, if required, and the dissolution of entitiesApply for Employee Identification Numbers for domestic and foreign entities and Global Intermediary Identification Numbers, if requiredPrepare tax forms (W-8s/W-9s)Assist with bank account openings and onboarding entities with the fund administrator and other service providersAssist with filings required under U.S. securities lawsAdvise registered agent of any entity formations, name changes, conversions and dissolutionsDraft initial operating agreements, resolutions and internal loan documentsRespond to internal and external requests for information for KYC and other purposesAssist in preparing and maintaining structure chartsMaintain D&O registersAssist in annual processes, ad hoc projects and corporate governance matters generallyQualifications:Bachelor’s degree requiredMinimum of 2-3 years of experienceExceptional attention to detailStrong organizational, project and time management skillsExcellent interpersonal, written and verbal skillsProficiency in Microsoft Word, Excel, PowerPoint and PDFFast learner with the ability to multi-task effectively while managing a robust workload in a fast-paced environmentExperience with Diligent corporate database (fka Blueprint) and/or iManage document management system a plusWillingness to travel to Toronto a few times per year#LI-CL2Salary Range: $90,000 - $115,000Our compensation structure is comprised of a base salary and a short-term incentive program (cash bonus). Cash compensation tends to vary based on geography to account for local market conditions and is set to be market competitive.
