Responsibilities

  • Manage the corporate entity database, including initial entries and the bi-annual ownership attestation process, and assist in all other entity maintenance protocols.
  • Manage the legal document system and maintain organization of all legal documents.
  • Assist with U.S. and other jurisdictional entity formations and state qualifications, if required, and the dissolution of entities.
  • Apply for Employee Identification Numbers for domestic and foreign entities and Global Intermediary Identification Numbers, if required.
  • Prepare tax forms (W-8s/W-9s).
  • Assist with bank account openings and onboarding entities with the fund administrator and other service providers.
  • Assist with filings required under U.S. securities laws.
  • Advise registered agent of any entity formations, name changes, conversions and dissolutions.
  • Draft initial operating agreements, resolutions and internal loan documents.
  • Respond to internal and external requests for information for KYC and other purposes.
  • Assist in preparing and maintaining structure charts.
  • Maintain D&O registers.
  • Assist in annual processes, ad hoc projects and corporate governance matters generally.

Cash compensation tends to vary based on geography to account for local market conditions and is set to be market competitive.
