Ascendion partners with a growing law firm to hire an experienced paralegal focused on corporate transactions, M&A, and related filings. The role emphasizes meticulous document handling, data room management, and closing processes in a fast-paced environment.

The ideal candidate will have 5+ years in corporate practice, strong organizational skills, and the ability to manage multiple complex transactions under tight deadlines.

Qualifications

• 5+ years of corporate experience required.
• Demonstrated expertise in corporate transactional practice, M&A processes, entity formations, and blue sky/UCC filings.
• Advanced proficiency with legal research tools, document management platforms, and data room management.

Responsibilities

• Assist attorneys through all phases of corporate transactions, including managing virtual data rooms and closing binders.
• Form, maintain, and dissolve legal entities; draft resolutions, consents, operating agreements, and minute books.
• Conduct comprehensive due diligence and prepare regulatory filings (Secretary of State, annual reports).
• Draft, review, and organize basic contracts, NDAs, and closing certificates.

Job description

We are working with a growing Law Firm, looking to bring on an experienced Paralegal, to join their team. Specifically, they are looking for someone with 5+ years of experience, specific to corporate transactions, mergers & acquisitions, etc.

Requirements:

• 5+ years of experience of corporate experience
• Demonstrated expertise in corporate transactional practice, M&A processes, entity formations, and blue sky/UCC filings.
• Advanced proficiency in legal research tools, document management platforms, and data room management (e.g., Intralinks, Firmex).
• Exceptional organizational skills, high attention to detail, and the ability to manage multiple complex transactions under tight deadlines.

Responsibilities:

• Assist attorneys through all phases of corporate transactions, mergers and acquisitions, and joint ventures, including managing virtual data rooms, preparing closing binders, and tracking deal checklists.
• Form, maintain, and dissolve legal entities (LLCs, corporations, partnerships). Draft board resolutions, written consents, operating agreements, and maintain corporate minute books and stock ledgers.
• Conduct comprehensive due diligence research, perform lien and UCC searches, and prepare federal, state, and local regulatory filings (including Secretary of State filings and annual reports).
• Draft, review, and organize basic commercial contracts, non-disclosure agreements (NDAs), closing certificates, and officer certificates.

The annual salary for this position is between 100k-120k. Factors which may affect pay within this range may include geography/market, skills, education, experience and other qualifications of the successful candidate.
