Job description

Position: Corporate Mergers & Acquisitions Paralegal

Location: Century City

On-site Logistics: Hybrid (3 days on site)

Target Salary: $80,000 - $120,000 + OT and Bonus

Responsibilities

• Create and update checklists (check in new documents, change status, etc.)
• Draft transactional documents including resolutions, opinions, joinders, Secretary's certificates, Incumbency certificates, and other legal documents
• Run, order and summarize UCC, state and federal lien, judgment, litigation, and bankruptcy searches
• Manage the post‑closing database to manage post‑closing matters and create email reminders
• Prepare withdrawal and qualification documents in accordance with all state, local, and federal laws and regulations for conducting business
• Prepare stock certificates, legend, and backing sheets
• Draft shareholder and board consents
• Draft and file amendment certificates for corporation or Limited Liability Companies
• Draft, assemble and track signature packets
• Manage/oversee the preparation of closing sets, binders and CDs (electronic format) and other post‑closing deliverables; distribute to appropriate parties

Draft organizational, incorporation, and formation documents including, but not limited to the following:

• Articles of organization, operating agreements, consents, qualification documents
• Conduct name availability and reserve entity name if required
• Draft subscription agreements, stock certificates, stock powers and related documents
• Prepare SS‑4 form and apply for Employer ID Number
