Confidential is seeking a Corporate Paralegal to support the Corporate Practice Group through the full lifecycle of corporate transactions.

Qualifications

  • Bachelor's degree or paralegal certificate required.
  • Minimum of 5 years of corporate paralegal experience.
  • Prior law firm experience strongly preferred.
  • Experience with corporate transactions, entity formation, governance, closings, Blue Sky filings.
  • SEC EDGAR filing experience preferred.

Responsibilities

  • Assist attorneys through all stages of corporate transactions.
  • Prepare and maintain legal documents for corporate transactions.
  • Support due diligence and organize transaction materials.
  • Coordinate closings: signature packages, deliverables, closing books.
  • Prepare and file corporate and securities filings (Form D, Blue Sky).
  • Maintain investor tracking documentation and UCC filings.
  • Conduct UCC and litigation searches; obtain good standing certificates.
  • Prepare organizational documents, resolutions, officer certificates, governance docs.
  • Perform legal research and prepare reports; communicate with clients and regulators.

Job description

The Corporate Paralegal supports the Corporate Practice Group by assisting attorneys throughout the full lifecycle of corporate transactions. This role is responsible for preparing and managing corporate documentation, conducting due diligence, coordinating transaction closings, maintaining corporate records, handling regulatory filings, and supporting attorneys with legal research and client matters. The position requires strong organizational skills, attention to detail, and the ability to manage multiple priorities in a fast-paced law firm environment.

Key Responsibilities:
  • Assist attorneys throughout all stages of corporate transactions.
  • Prepare and maintain legal documents required for corporate transactions.
  • Support due diligence reviews and organize transaction materials.
  • Coordinate transaction closings, including:
  • Managing signature page packages
  • Tracking transaction deliverables
  • Assembling electronic and physical closing books
  • Prepare and file corporate and securities filings, including:
  • Form D filings
  • State Blue Sky filings
  • Review subscription agreements related to private placements.
  • Maintain investor tracking documentation.
  • Prepare, review, and file UCC financing statements.
  • Conduct and analyze:
  • UCC searches
  • Litigation searches
  • Good standing certificate requests
  • Handle business entity formation, maintenance, and related state filings.
  • Prepare organizational documents, resolutions, officer certificates, and corporate governance documents.
  • Conduct routine legal and factual research.
  • Prepare legal reports and supporting documentation.
  • Communicate directly with clients, government agencies, and third-party service providers.
  • Maintain accurate legal records and document management systems.
  • Train and provide guidance to junior paralegals or support staff.
  • Perform additional legal and administrative assignments as needed.
Minimum Education & Experience Requirements:
  • Bachelor's degree, Associate's degree, or Paralegal Certificate required.
  • Minimum of 5 years of corporate paralegal experience.
  • Prior law firm experience strongly preferred.
