A well-established law firm in Chicago, Illinois is seeking a Corporate Paralegal to support attorneys on a broad range of corporate and business law matters. This full-time, non-exempt position offers a salary range of $100,000–$145,000 and provides an opportunity to work on sophisticated transactional matters in a fast-paced legal environment. The Corporate Paralegal will play an integral role in supporting attorneys and clients across a variety of corporate matters, with an emphasis on transactional work. The successful candidate will be highly organized, detail-oriented, and capable of managing multiple priorities while supporting attorneys through all stages of corporate transactions. Responsibilities of the Corporate Paralegal:
- Provide day-to-day support to attorneys on a variety of corporate and transactional matters, including mergers and acquisitions.
- Assist with all phases of corporate transactions, from initial preparation and due diligence through closing and post-closing activities.
- Coordinate corporate filings and searches, including UCC matters, lien searches, state filings, and other documentation required throughout the transaction process.
- Prepare, organize, and maintain transaction materials, including closing documents, checklists, signature pages, and other supporting documentation.
- Assist with the formation, maintenance, and governance of business entities, including preparing organizational documents, obtaining required registrations, and maintaining corporate records.
- Research applicable state requirements and assist with a variety of corporate filings and entity-related matters, including assumed name filings, amendments, qualifications, and other updates.
- Support attorneys with regulatory and securities-related matters, as well as other corporate projects and administrative responsibilities as needed.
Qualifications of the Corporate Paralegal:
- Experience working as a paralegal in a corporate, transactional, or business law environment.
- Experience supporting mergers and acquisitions and other sophisticated corporate transactions.
- Familiarity with the transactional process, including due diligence, closings, and post-closing matters.
- Strong understanding of corporate filings, entity maintenance, and related state requirements.
- Familiarity with UCC filings, lien searches, and other corporate research and filing processes.
- Experience working with corporate governance documents and securities or regulatory filings.
- Excellent organizational and communication skills, strong attention to detail, and the ability to manage multiple deadlines in a fast-paced environment.
